AEP and CSW Merger

June 15, 2010 marked exactly 10 years ago that it became official: American Electric Power
and Central and South West merged into a single company under the AEP banner.

The two companies had announced plans to merge on December 22, 1997.
It took 30 months for the merger to gain the consent of the 11 state utility
commissions and several federal agencies that needed to approve it.

Architects of the merger were AEP Chairman, President and CEO Dr. E. Linn
Draper, Jr. and CSW Chairman E. Richard “Dick” Brooks. When CSW was determining
which companies might be interested in acquiring the Dallas-based utility,
“Ten were interested and we ended up with four serious finalists,” Brooks said
recently. “AEP won out head and shoulders above everybody.”
